The agreement
These terms are an agreement between Ultimate Business Machines LLC, an Oklahoma limited liability company ("we", "us"), and the business that opens an account on Ultimate Business Machines ("UBM", "you"). The person who creates the account confirms they are allowed to agree to these terms for the business. Using UBM means accepting these terms and the Privacy Policy.
The service
UBM is an online platform of business tools, such as a customer list, lead management, surveys, scheduling, team messaging, projects and jobs, routes, a customer portal, SEO checks and analytics. A service marked Live on the Services page works today. One marked In progress or Coming soon isn't available until it launches, and nothing is charged for it until then.
We keep improving UBM and may change how things work. We'll tell account holders before we remove a service they pay for.
Your account
- Give accurate details, and keep them up to date.
- Your administrators decide who is on your team and what each person can see and do.
- Each person keeps their own password private. You're responsible for what happens under your account, so tell us straight away if you think someone else has got in.
Free trial, prices and billing
- Free trial. A new account starts with a 14-day free trial. We don't ask for a card to start it.
- Prices. After the trial, you pay the monthly price for the services on your plan, as shown on the Pricing page when you choose them. It is one price for the whole company, not per person.
- Billing. Billing isn't automated yet, and nothing is charged automatically. We invoice you directly, and each invoice shows what is owed and the date it is due. If a payment is late, we'll remind you first; an account that stays unpaid may be paused or closed, as described in Stopping and closing an account.
- Paying yearly. You can pay for a year up front at the yearly price shown on the Pricing page.
- Preorders. Nothing can be preordered at the moment. A preorder already placed keeps the terms it was made on: its year starts the day its service launches, at the discount it was made at, and nothing was charged when it was placed.
- Preorders. A service that isn't live yet and has a price can be preordered for a year at 50% off its list price, where your plan doesn't already include it; what a preorder saves on your plan is shown before you place it. Your year starts the day it launches, and nothing is charged when you preorder. A preorder keeps the terms it was made on.
- Changing your plan. Add or remove services any time from Upgrade options in your dashboard.
- Price changes. We'll tell you at least 30 days before a new price applies to you.
- Taxes and refunds. Prices don't include taxes; any tax that applies is added to your invoice. You can cancel a subscription at any time, and it stops at the end of the period you've paid for. We don't refund part of a period, including on a yearly plan or a preorder, unless the law requires it.
Your data
What your business puts into UBM, including your customers' information, stays yours. You allow us to store, process and send it only to provide the service to you, as described in the Privacy Policy. You're responsible for having the right to collect and use it, including telling your customers how you use their information and getting their consent where the law requires it. You can export your customer list and survey answers yourself at any time, and we'll help with anything else.
Texts and emails you send
When you email your customers through UBM, or text them from your phone with a message UBM wrote for you, your business is the sender and is responsible for each message. You agree to:
- text only people who gave you their number and agreed to get texts from you, with written consent before any marketing text;
- say who you are in your messages, and honor every opt-out: when someone replies STOP or asks you another way, stop texting them and record it in UBM ("They asked me to stop texting"), so UBM won't open a text to that number for you;
- text at reasonable hours in the recipient's time zone;
- follow the laws and rules that apply, including the Telephone Consumer Protection Act, CAN-SPAM, and the mobile carriers' and CTIA's messaging guidelines;
- never send spam, texts to bought or rented lists, or content the carriers prohibit.
UBM doesn't send text messages itself. When you text someone from UBM, it writes the message and opens the texting app on your phone, or your team member's phone, with the message filled in. You press send, and the text goes from your own phone number. Replies, STOP included, come to that phone, not to UBM, so it's up to you to read them and act on them. UBM keeps a record that the text was opened (who opened it, to which number, and the words), but it can't see whether the text was sent or delivered.
Automatic and group texts are off: UBM never texts anyone for you by itself, and uses email for those messages where it has an address. Every text you send this way is yours, and the same laws apply to it, including the TCPA and any state rules on texting businesses you haven't dealt with before.
We may pause messaging for an account that breaks these rules.
Text message program terms
These terms apply to anyone who gets a text from a business that uses UBM.
- Texts come from the business you gave your number to, sent from its own phone, about what you booked, asked about or agreed to, such as appointment confirmations, replies to your inquiry, and updates on your job. UBM writes the message for the business, but UBM doesn't send it.
- Msg & data rates may apply.
- Reply STOP to any text to opt out, or tell the business another way. Your reply goes to the business's phone, and the business is responsible for honoring it. Once it records your request in UBM, UBM won't open another text to your number for that business. To get texts again, tell the business. For help, contact the business directly.
- Agreeing to get texts is not a condition of buying anything.
- Carriers are not liable for delayed or undelivered messages.
- The Privacy Policy explains how your number is used. Your number and your consent are never shared with third parties for their marketing.
AI features
AI features draft and suggest, and they can be wrong. Check what they produce before you send or publish it; you're responsible for what goes out under your name. Anything the AI does on its own stays within the budget and permissions your administrator sets, and your administrator can turn it off.
Acceptable use
Don't use UBM to:
- break the law, or anyone's rights;
- send spam or messages people didn't agree to get;
- upload malware, or anything you don't have the right to share;
- try to get into another account, or test UBM's security without our written permission;
- overload or disrupt the service, scrape it, or copy or reverse engineer it;
- resell it without an agreement with us;
- store card numbers, Social Security numbers, or health information that needs HIPAA protection. UBM isn't built to hold them.
Services from other companies
Some features connect to services run by other companies, such as Google and your payment provider. Their own terms apply to them, and we aren't responsible for how they work. You can disconnect a connection at any time.
Some features, such as Logistics and the Sales & Lead Machine, include Google Maps features and content. Your use of Google Maps features and content is subject to the then-current versions of the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy.
Availability and support
We work to keep UBM running and your information safe, but we can't promise it will always be available or free of errors. We may take it offline briefly for maintenance. For help, use the Help center in your dashboard.
Stopping and closing an account
There's no contract: you can stop using UBM and ask us to close your account at any time. We may pause or close an account that breaks these terms, doesn't pay, or puts other people or the service at risk, and we'll give notice first where it is reasonable to. Export anything you want to keep before an account is closed; after that, its information is deleted as the Privacy Policy describes.
Our property
The platform, its design and its code belong to us. These terms give you the right to use UBM while your account is open, and nothing more. If you send us feedback or ideas, we may use them without owing you anything.
Disclaimers
Except as these terms say, UBM is provided "as is" and "as available", without warranties of any kind, to the extent the law allows.
Limits on liability
To the extent the law allows, we aren't liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data. Our total liability for any claim about UBM is limited to what you paid us in the 12 months before the claim.
Your responsibility for claims
You'll defend and cover us against claims that arise from what your business puts into UBM, the messages you send through it, or your breaking these terms.
Governing law and disputes
These terms are governed by the laws of the State of Oklahoma. Disputes will be resolved in the state or federal courts located in Oklahoma.
Changes to these terms
We'll post any change here with a new date, and tell account holders at least 30 days before a significant change takes effect. Using UBM after that means accepting the new terms.
